These Terms and Conditions ("Terms") govern your access to and use of use.fo (the "Service"), including any websites, apps, extensions, APIs, or related services operated by us ("use.fo", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Introduction
use.fo provides an AI Prompt Rewrite service that helps you rewrite, refine, and optimize prompts or text instructions for use with AI systems ("AI Prompt Rewrite"). The Service may be offered under a freemium model, including free features and paid subscription plans.
2. Definitions
For clarity, the following definitions apply:
- "Account" means a registered user account on use.fo.
- "Buyer" / "You" means the person or entity using the Service.
- "Input" means any text, prompts, instructions, or other materials you submit to the Service.
- "Output" means the rewritten prompt or text generated by the Service based on your Input.
- "Subscription" means a recurring paid plan (monthly, annual, or other interval) that provides access to paid features.
- "Usage" means consumption of Service resources, such as rewrite actions, credits, tokens, characters, or other units displayed in your plan and/or dashboard.
- "Merchant of Record" means the entity that sells the Subscription to you for payment processing, tax collection, invoicing, refunds, and order support.
3. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
4. Eligibility and Age Restrictions
The Service is intended only for access and use by individuals at least 13 years old. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are under 13, you may not access or use the Service.
5. The Service (AI Prompt Rewrite)
5.1 Service Nature
The Service uses automated systems (which may include third-party AI models and/or APIs) to generate Output from your Input. You acknowledge that AI-generated results can be probabilistic, may contain errors, and may not be suitable for all purposes.
5.2 Freemium Model
We may offer:
- Free features (which may be limited, trial-based, or subject to quotas), and
- Paid features via Subscription.
We may change features, quotas, or eligibility for free or paid tiers at any time.
5.3 No High-Stakes Use
You must not rely on the Service or any Output for decisions involving high risk (e.g., legal, medical, financial, employment, safety, or compliance decisions). You are responsible for independently reviewing and validating Outputs before use.
6. Accounts and Security
If you create an Account, you agree to provide accurate and complete information and keep it current. You are responsible for:
- Maintaining the confidentiality of your login credentials,
- All activity that occurs under your Account, and
- Notifying us promptly of any unauthorized use or security breach.
We may suspend or terminate Accounts that appear compromised or that violate these Terms.
7. Payment Processing, Taxes, and Merchant of Record (Paddle)
7.1 Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
This means Paddle handles payment processing, applicable taxes (e.g., VAT/GST where required), invoicing/receipts, and order support for payments. Your payment statement will reference paddle.net or Paddle.
7.2 Checkout Terms
By placing an order processed by Paddle, you agree to Paddle's Buyer Terms and Policies and these Terms (together, the applicable supplier agreement) to the extent permitted by law.
8. Subscription Terms (Continuous Transactions)
8.1 Billing Cycle and Auto-Renewal
Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) depending on the plan you choose. Unless you cancel, your Subscription will automatically renew and you authorize Paddle to charge your payment method for each renewal.
8.2 Pricing and Plan Details
Plan features, prices, quotas, and usage limits are presented at purchase and/or within your Account. Taxes may apply depending on your location and will be calculated by Paddle as Merchant of Record.
8.3 Cancellation
You can cancel your Subscription through your Account settings. To avoid being charged for the next billing period, you must cancel at least 24 hours before the renewal date.
Cancellation takes effect at the end of the current paid billing period. We do not provide prorated refunds or credits for partially used billing periods, except where required by law or expressly stated in Section 9.
9. Refund Policy (Subscriptions)
9.1 General Principles
Because the Service delivers value immediately upon use (AI processing and compute resources), we provide a limited refund policy designed to be fair to Buyers while protecting Service integrity and costs.
Important: Paddle, as Merchant of Record, handles refund requests. Refunds may be refused where there is evidence of fraud, refund abuse, or manipulative behavior.
9.2 How to Request a Refund
For billing disputes or refund requests, please prioritize using Paddle's order support portal (linked from your email receipt) or contact Paddle Buyer Support directly. This ensures the fastest processing.
Alternatively, you may contact us at contact@use.fo with:
- The email used for purchase,
- Order/transaction ID,
- Last 4 digits of the payment method (if applicable), and
- A brief reason for the request.
We typically respond to eligibility inquiries within 3 business days.
9.3 Eligibility Windows
Refund requests must be made within the applicable window below.
(A) EU/UK Consumers — Withdrawal Right (Conditional)
For digital content that is immediately made available, by first accessing the paid prompt rewriting interface/API, downloading, or otherwise acquiring the digital content, you consent to immediate performance and acknowledge you may lose your right of withdrawal once the applicable transmission has begun, to the extent permitted by law.
We apply the following:
- If you request a refund within 14 days of purchase/renewal and you have Zero Usage (defined below), we will support a full refund.
- If we have a record of your explicit consent to immediate performance and you have started using the Service (i.e., any Usage), your refund will be denied or reduced as permitted by applicable law.
(B) Accidental Renewal ("Forgot to Cancel")
If you were renewed unexpectedly, we will support a refund when all of the following are true:
- You request a refund within 48 hours of the renewal charge,
- You have Zero Usage after renewal, and
- This exception has not been used by your Account (or payment method) previously. (This exception is limited to one occurrence per Account).
(C) Technical Failure (Service Not Available)
If a verified technical problem on our side prevents you from using paid features for a material portion of the billing period, we may support:
- A service credit as the primary remedy; or
- A prorated refund where credit is not feasible or required by law.
9.4 Usage-Based Rules (Resource-Linked Refund Logic)
Refund eligibility depends on usage. For the purpose of assessing refund eligibility, our usage logs (including API calls, rewrite events, and quota consumption) will be the authoritative record, subject only to correction of demonstrable system errors.
- Zero Usage: No rewrite actions performed and no usage units consumed during the relevant period.
- De Minimis Usage: The lesser of:
- ≤ 2 rewrite actions, or
- ≤ 300 usage units/tokens/credits (as applicable to your plan),
- Significant Usage: Any of the following during the relevant period:
- > 2 rewrite actions, or
- > 2% of your plan's included monthly/period quota, or
- Any pattern indicating intensive consumption inconsistent with trial/testing.
Refund outcomes:
- Zero Usage: Eligible for full refund within the applicable window (Section 9.3).
- De Minimis Usage: May be eligible for a refund on a case-by-case basis (we may support a partial refund or deny depending on circumstances). We may treat repeated De Minimis refunds across multiple billing cycles as refund abuse.
- Significant Usage: Generally not eligible for a refund because the Service has been substantially delivered.
9.5 Non-Refundable Cases
To the maximum extent permitted by law, refunds will not be supported for:
- Dissatisfaction based on subjective preference (e.g., style, tone) where the Service functioned as described,
- Requests made after the applicable time windows,
- Violations of these Terms: If your Account is suspended or terminated for violation of Sections 10 or 12, you forfeit any remaining prepaid fees and are not eligible for refunds.
9.6 Effect of Refund
If a refund is granted:
- Your access to paid features will end immediately.
- Any license or permission to use Outputs generated during the refunded period terminates upon refund, to the extent permitted by law.
10. Fair Use and Resource Limits (Usage Boundaries)
10.1 Quotas, Rate Limits, and Controls
To protect the Service and ensure fair access:
- We may impose quotas, rate limits, throttling, or other controls.
- Fair Use: On plans marketed as "unlimited", usage may be throttled or restricted if it materially exceeds typical individual usage patterns, involves automation, or impacts service stability. Applicable limits and enforcement indicators may be shown in your dashboard.
10.2 Prohibited Resource Abuse
You may not:
- Use automation to overload the Service,
- Share Accounts outside your organization/household beyond plan allowances,
- Resell or provide the Service to third parties without written permission,
- Circumvent limits or attempt to reverse engineer the Service.
Violations may result in suspension/termination (Section 17) and ineligibility for refunds (Section 9.5).
11. Intellectual Property and Data Rights (Inputs and Outputs)
11.1 Our IP
The Service and its original content, features, and functionality (excluding your Input and Output) are and will remain the exclusive property of use.fo and its licensors. The Service is protected by copyright, trademark, and other laws.
11.2 Your Inputs
You retain any rights you have in your Input. You represent and warrant that you have all rights necessary to submit your Input to the Service and that doing so does not violate any law or third-party rights.
11.3 Outputs
As between you and use.fo, you may use Outputs for lawful purposes, subject to these Terms. However:
- We do not guarantee Outputs are original, non-infringing, or eligible for copyright protection.
- You are responsible for verifying Outputs and ensuring they do not infringe third-party rights.
11.4 License to Operate and Improve the Service
To provide and maintain the Service, you grant us a worldwide, non-exclusive, royalty-free license to process your Input and Output for:
- Providing the Service to you,
- Maintaining, securing, and debugging the Service, and
- Improving and developing the Service, including via aggregated or anonymized analytics.
11.5 Third-Party AI Providers
We may use third-party AI providers to generate Outputs. Your Input may be transmitted to such providers solely to provide the Service.
12. Acceptable Use and Prohibited Content
You agree not to use the Service:
- For any unlawful purpose or to solicit unlawful acts,
- To infringe intellectual property or other rights of others,
- To generate or optimize prompts intended to produce prohibited content, including fraud, harassment, malware, or deceptive impersonation,
- To create or facilitate deepfakes, face swaps, or voice impersonations used for deception or harm,
- To submit false or misleading information,
- To upload or transmit viruses, malware, or malicious code,
- To scrape, crawl, or probe the Service in a way that disrupts operations.
We may remove content, restrict access, or terminate Accounts for violations.
13. Service Changes and Availability
We reserve the right to modify, suspend, or discontinue the Service (in whole or part) at any time. We are not liable for any modification, suspension, or discontinuation except as required by law.
14. Disclaimers (AI-Specific)
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You acknowledge:
- Outputs may be incorrect, incomplete, or unsuitable for your goals,
- You are solely responsible for how you use Outputs,
- You must independently verify Outputs before relying on them.
15. Limitation of Liability
To the maximum extent permitted by law, use.fo and its directors, employees, partners, agents, suppliers, or affiliates will not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of (or inability to access or use) the Service, (b) any conduct or content of any third party, or (c) unauthorized access, use, or alteration of your transmissions or content.
To the maximum extent permitted by law, our total liability for any claim shall not exceed the greater of:
- The amount you paid for the Service in the twelve (12) months immediately preceding the claim, or
- US $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless use.fo and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service,
- Your Input or Output,
- Your violation of these Terms, or
- Your violation of any law or third-party right.
17. Termination
We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including if you breach these Terms or if we reasonably suspect fraud, abuse, or unlawful activity.
Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, you may discontinue using the Service. Refund eligibility is governed by Section 9.
18. Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and share information. If these Terms conflict with the Privacy Policy on a specific data handling point, the Privacy Policy controls for that point.
19. Changes to Terms
We may modify these Terms from time to time. If a revision is material, we will make reasonable efforts to provide notice. By continuing to use the Service after changes become effective, you agree to the revised Terms.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Taiwan (R.O.C.), without regard to conflict of law principles.
You agree to attempt to resolve disputes informally by contacting us first at contact@use.fo. If we cannot resolve the dispute informally, disputes shall be resolved in the competent courts of Taiwan (R.O.C.), unless mandatory consumer protection laws require otherwise.
21. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
22. Entire Agreement
These Terms, together with any policies referenced herein (including the Privacy Policy and any plan-specific terms presented at purchase), constitute the entire agreement between you and use.fo regarding the Service and supersede all prior or contemporaneous understandings.
